Terms of Service

By connecting Maready & Co. Financial, LLC’s (operating as “Maready & Co.”) QuickBooks Online integration (the “Service”) to your QuickBooks Online company file, you (“Client”) agree to the following terms. Maready & Co. Financial, LLC is a North Carolina limited liability company based in Wilmington, North Carolina.

1. License

We grant Client a limited, non-exclusive, non-transferable, revocable license to use the Service solely in connection with bookkeeping and advisory engagements between Client and Maready & Co. Financial, LLC.

2. Authorization

Client authorizes the Service, via Intuit’s OAuth 2.0 flow, to read and (where Client directs) modify Client’s QuickBooks Online data on Client’s behalf. Client may revoke this authorization at any time from Apps → Connected Apps in QuickBooks Online.

3. Acceptable use

Client will not, and will not permit any third party to:

• Access the Service for the purpose of building a competing product.
• Use the Service to violate any law or third-party right.
• Share OAuth credentials or workstation access outside Client’s authorized personnel.

4. Data accuracy and review

The Service may automatically detect issues, suggest categorizations, and prepare summaries. Client and Maready & Co. Financial, LLC share responsibility for reviewing the books before any return, filing, or material decision. The Service does not replace professional judgment.

5. Confidentiality

We treat all data accessed via the Service as Client confidential information and apply commercially reasonable measures to protect it. See the Privacy Policy for specifics.

6. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAREADY & CO. FINANCIAL, LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID TO MAREADY & CO. FINANCIAL, LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. Termination

Either party may terminate these terms at any time by disconnecting the Service or by written notice. Sections 4–9 survive termination.

9. Governing law

These terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in New Hanover County, North Carolina.
